ACCEPTANCE OF THE TERMS OF USE

The following Terms of Service govern the use of gyanhton.com and any of its subsidiary web pages (the “Site” or “Website”), owned and operated by Gyanhton Ltd. (“Gyanhton”, “We”, “Us” or other similar terms). By accessing or using the Site, you agree to be bound by these Website Terms of Service and the other documents they expressly incorporate by reference (the “Agreement”), by all applicable laws and regulations, and you agree to be responsible for compliance with all applicable local laws. If you (“User”, “You” or similar terms) do not agree with any of the terms of the Agreement, you are prohibited from using or accessing this Site. The materials contained in the Site are protected by applicable laws, including copyright and trademark laws. This Agreement applies to you, to any person or entity on whose behalf you use the Site, and to any person or entity that may obtain rights through you.

Guide of rules

To help you understand which rules apply to you based on how you use our Services, we have created a guide:

  1. If you purchase or subscribe to our services that are owned by Gyanhton, you are accepting both our Terms and Privacy Policy.
  2. If you purchase or subscribe to our products from websites owned by Gyanhton, you are also agreeing to our Terms and Privacy Policy.
  3. If you agree to a customized project quotation from Gyanhton or any of its websites, you are also accepting our Terms and Privacy Policy.
  4. If you participate in Gyanhton’s Affiliate Program, you are also required to agree to our Affiliate Service Agreement.

Keep in mind that all of these documents are part of our Terms, so it’s important to carefully read those that apply to how you use our Services and products.”

 

CUSTOM SOFTWARE DEVELOPMENT, DATA PROCESSING, API DEVELOPMENT

1. Quotations and estimates

  • All quotations provided by Gyanhton are valid for a period of 15 days from date of issue. Quotations not accepted within this timeframe must be requested again.
  • All quotations are required to be accepted and returned by e-mail to quote@gyanhton.com within the 15 day period from date of issuance.
  • All quoted prices include analysis, development, tests and technical support.
  • For big projects, payment plan can be considered

2. Payment terms

  • The development of the quoted application will start once the first deposit has been received by Gyanhton.
  • Final payment must be done at the delivery of the application. In the event of delay in payment for more than 3 days the applicant will not be entitled to any Technical Support or Development Support and the product key will be deactivated.
  • In the event of delay in payment for more than 14 days, Gyanhton cease the release of the quoted application which will then become the property of Gyanhton as such, and as with other of its properties, Gyanhton may choose to offer the application for public acquisition and use.

3. Intellectual property

  • All quotations provided by Gyanhton do not include any source code.
  • All source code and associated intellectual property relating to said source code, developed by Gyanhton, solely remains the property of Gyanhton.
  • Any alteration, reverse engineering, or manipulation of any kind on the code, compiled or otherwise, created by Gyanhton for the quoted application is not allowed.

4. Improvements

  • Any improvement requested by the applicant after development has begun will incur extra development and regression testing time. A new quotation for these change will be sent.
  • Gyanhton will not accept responsibility for any change performed by the applicant or any third party which may cause or induce errors within the quoted application.

5. Completing of work

  • All timeframes offered by Gyanhton to the applicant are estimates. The intrinsic nature of software development and its intricacies do not afford Gyanhton  the luxury of specifying definite timeframes.
  • Gyanhton will endeavour to complete all work within the estimated timeframes discussed with the applicant in the quotation. However, Gyanhton will not be liable for any penalties, monies or hardships otherwise incurred by the applicant if the application cannot be delivered within the estimated timeframe (note, above the difficulty in specifying clear timeframes in a development environment).

6. Projects showcase

  • Client projects can be integrated into our portfolio and displayed on our sites to showcase the capabilities and skills of our team. Only the minimum and essential information will be displayed in order to have an overview of the project but in no case the strategies and details of the project will be disclosed, thus ensuring the confidentiality of the project.

7. Cancellations and refund

  • There will be no refund if Gyanhton has allocated resources and started work on a cancelled project.

 

UK VIRTUAL PRIVATE SERVER (UK VPS)

1. Indemnity and use of service

In no event Gyanhton cannot be held liable for any loss or damage including without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from our UK VPS hosting service, content written or financial loss arising out of its use. Gyanhton cannot be held responsible for, including but not limited to: downtime for any reason, data loss, breaches or attacks to our network and service, hardware or server failure, maintenance periods, termination of cancelled accounts, etc. Although we store daily backup files off the UK server, it is up to you to download backups from your UK VPS desktop.

We make no guarantee that any backups we do make can be fully restored or be useable when restored.

2. Cancellation of service (Suspension of Accounts)

We reserve the right to cancel any UK VPS account, for any reason deemed reasonable by us – with proper notification as outlined below:

  • Repeatedly or consistently violating our Acceptable Usage Policy
  • Repeated payment failures
  • Run programs which violate our Acceptable Content Policy
  • Using our UK VPS as an email server to solicit unwanted emails or spam, or to launch attacks or malicious files
  • Using our UK VPS to cause harm, tamper with, or disrupt service to our server, network or clients
  • Violations and attempted violations of system and network security
  • Abuse in any way including written or verbal threats and profanity

When your account has been cancelled by us, it means we no longer provide UK VPS hosting services to you. It also means we have made every attempt to contact you, and those attempts have been ignored or failed.
We may also cancel accounts immediately, which pose a threat to our network or security. These are listed above under Suspension of Accounts (reasons 3 to 6).
Once your account is cancelled, we are under no obligation to provide UK VPS service, to store your files or account access.
If you cancel your UK VPS subscription, it is your responsibility to download backup files.
Gyanhton can not be held liable for removal of any program or files from a cancelled account – NO EXCEPTIONS.

3. Software license

Our UK VPS does not include the license(s) of software you want to run on our UK VPS. However, you should note that Plans may include certain licenses so that the software you run might influence your choice of plan:
For example, some plan include licenses like bots as Soccer Supervisor 2 Pro and/or Malbot Horse Racing and/or Spikey Soccer and/or Spikey Tennis and/or G2M. These licenses are included as long as your remain a subscriber to the eligible plan (One Bot or Gold Plan).

Prerequisites:
To run bots mentioned above you must have:

  • a Betfair Global Exchange Account – not Spanish and Italian Exchange (you must agree to Betfair’s Terms and Conditions listed on their website)
  • a subscription to Gruss Software (Betting Assistant) (version 1.3.1.3 or higher);
  • for Soccer Supervisor 2 Pro, you will need an extra subscription to InplayTrading.

4. Payment methods

Upon subscribing to our UK VPS Service (Monthly, Biannual, or Yearly Plan), you acknowledge and agree to be a subscriber for the specified duration.

Your monthly, biannual or yearly subscription will start when Gyanhton confirms your payment and will continue for a period of the plan purchased. At the end of the period chosen, access to the UK VPS will no longer be possible. In order to access it again, a new plan will have to be ordered.

A valid payment method, either Paypal or debit/credit card or bank transfer, is required to process the payment for your subscription. You shall provide Gyanhton with accurate and complete billing information including name, address, state, zip code, country and a valid payment method information. By submitting such payment information, you automatically authorize Gyanhton to charge all payment fees incurred through your account to any such payment instruments.

We don’t store your debit/credit card details. Your payment details is passed directly to our payment service provider, via an encrypted link and is never stored on our systems. We handle ongoing billing by passing a token that identifies your account.

We do not accept any refunds.

 

SOFTWARE/BOTS FOR SALE

All software/bots created by Gyanhton and offered for sale to the public through our various websites specific to the software or bot is called software for sale or bot for sale.

1. Technical Requirements

Your computer configuration, operation system and installed software must comply with our technical requirements that currently are:

  • Supported Operating Systems: Windows 10, Windows 11, Windows 2012 Server, Windows 2016 DC, Windows 2019 DC
  • Processor: 1 GHz Pentium processor or equivalent
  • Memory: From 2 GB to 4 GB recommended (the actual requirement will relate to the software installed)
  • Disk Space Requirements: 50 MB
  • Screen Resolution: 1680×1080 (minimum)

2. Prerequisites

Your must have a Betfair Global Exchange Account – not Spanish and Italian (you must agree to Betfair’s Terms and Conditions listed on their website), a subscription to Gruss Software (Betting Assistant) (version 1.3.1.3 or higher) and for Soccer Supervisor 2 Pro, you will need an extra subscription to InplayTrading.

3. License

You can install and run ONE Software on ONE computer at any one time.
One license = One computer

4. Updates and upgrades

Updates are free for the current version that you have bought. However, major upgrades are subject to fees policy.

5. You may not:

  • Permit other individuals to use our Software
  • Modify, copy, reproduce, distribute, resell, translate, reverse engineer, decompile or disassemble in any manner, the material on the site, including text, graphics, code and license. You may print and download portions of material from the different areas of the site solely for your own non-commercial use provided that you agree not to change or delete any copyright or proprietary notices from the materials.
  • Create derivative works based on our Software.
  • Rent, lease, transfer or otherwise transfer rights to the Software.

Title, ownership rights and intellectual property rights in and to the software shall remain with Gyanhton. Our Software are protected by international copyright treaties.

6. Responsibilities of users of our software

  • Users of our Software shall accept responsibility for running any kind of third-party software and/or service that may prevent our Software from running. These may include anti-virus, firewall, proxy, content-analyzing software and hardware.
  • Users of our Software shall accept responsibility for the change of their system configuration that may lead to our Software inability to function.
  • Users of our Software shall accept responsibility for complying with their local laws, authorities’ instructions and other directives that may prohibit and/or partly block Betfair’s or our Software functioning.

7. Third-party software

Software need third parties such as Betfair API or different data to run. Gyanhton cannot be responsible for any faults, failures, errors or issues relating to the operation of third-party software/site nor for the availability of updates and upgrades.

8. Disclaimer of warranty

Our Software are provided on an AS IS basis, without warranty of any kind, including without limitation the warranties of merchantability, fitness for a particular purpose and non-infringement.

The entire risk as to the quality and performance of the Software is borne by you.

Should the Software prove defective, you and not Gyanhton assume the entire cost of any service and repair.

9. Software delivery

Our Software are downloadable after purchase. Then, when you execute the application for the first time, you will need to enter the activation key that you will receive after having sent the request by e-mail. If you do not receive an e-mail containing the product key within a few hours after the order, you may check your junk folder. If the e-mail is not there, please contact us.

10. Payment methods

By subscribing to our Software/Bots Plans (Monthly, Biannual or Yearly Plan) you agree to become a subscriber for the period at least 1 (one) month for the number of plan you choose.

Your monthly, biannual or yearly subscription will start when Gyanhton confirms your payment and will continue for a period of the plan purchased. At the end of the period chosen, access to the UK VPS will no longer be possible. In order to access it again, a new plan will have to be ordered.

As we don’t have automatic renewal, you’ll be reminded a few days before the end of the subscription period when you need to re-subscribe on the site.

11. Refund

We do not accept refunds for any reason whatsoever. All payments made to us are final for all products.

12. Disputes and Chargebacks

The Customer acknowledges that any attempt to dispute or initiate a chargeback with Paypal or their Credit Card issuer will result in a suspension or termination of all services and products. A reactivation fee of £5 will be charged to reinstate services. A chargeback imposed under false pretenses is considered fraudulent and will be treated as such.

13. Pre-Order Products Policy

We consider pre-ordered products as custom software offerings, due to their tailored development and early access benefits. As such, pre-order purchases are not eligible for refunds. Customers who pre-order will receive immediate access to the current version of the software, ensuring value from the moment of purchase. In exceptional cases, where a pre-ordered product is not delivered within 6 months, we may, at our discretion, refund the difference between the price of the new version and the current version. This policy underscores our commitment to delivering high-quality, customized software solutions while recognizing the unique nature of pre-ordered products.
